Florida Annual Report Deadline: How to Avoid the $400 Late Fee on Sunbiz

Florida annual reports are generally filed between January 1 and May 1 each year. Profit corporations, LLCs, limited partnerships, and limited liability limited partnerships that file after the applicable deadline face a $400 late fee in addition to the regular filing fee. Nonprofit corporations are not subject to that $400 late fee. Check Sunbiz for the deadline and instructions applicable to the filing year. Florida Division of Corporations: Annual reports

Do not confuse the annual report with an income tax return. Filing one does not take care of the other.

What is a Sunbiz annual report?

The report confirms or updates the information on file with Florida’s Division of Corporations. It is not a financial statement and does not require you to report annual profit.

Covered entities generally must file even if their information has not changed. Initial annual reporting ordinarily begins in the calendar year following the entity’s formation or effective date. Florida Department of State: Annual report instructions

How much does it cost?

Current regular filing fees include:

Florida annual report fees and applicable late fees
EntityRegular annual report feeTotal after a $400 late fee applies
LLC$138.75$538.75
Profit corporation$150.00$550.00
Nonprofit corporation$61.25No $400 late fee

These figures cover the annual report itself; optional services, reinstatement, and other filings can have separate charges. Confirm the amount on the official filing system. Florida Division of Corporations: Fees

What should you review before filing?

Gather the entity’s document number and review the proposed information carefully, including:

Use the filing-year instructions for the entity type. A change that needs a separate filing should not be assumed effective simply because it was mentioned in an annual report. Official annual report instructions

Can an IRS extension protect you from the Sunbiz fee?

No. An extension to file a federal tax return does not extend the Sunbiz annual report deadline. These are separate filings administered by different agencies. Keep separate calendar entries and confirm who is responsible for each one. Sunbiz annual report requirements, IRS: Filing extensions

What happens if you miss the deadline?

The late fee generally cannot be waived merely because the business did not receive a reminder. Continued failure to file can lead to administrative dissolution or revocation and require a reinstatement process. Sunbiz describes a September filing cutoff and subsequent dissolution timetable; check the entity’s current status before deciding which filing is needed. If your business has stopped operating, discuss the appropriate wind-down steps. Ignoring annual reports is not a substitute for an orderly closure.

A simple routine to prevent a missed filing

We recommend assigning one person responsibility for the annual report, reviewing the record early in the filing season, and retaining both the confirmation and payment receipt. After submission, confirm that the filing appears in the official entity record.
