First-Time Florida LLC Owner Checklist

A first-time Florida LLC owner should confirm the formation, document ownership and management, determine tax treatment, establish banking and bookkeeping, and identify the registrations and deadlines that apply to the business. Use this checklist to organize the discussion with your advisors; not every item applies to every LLC.
Formation and ownership
- Confirm that Sunbiz accepted the filing and verify the effective date. Retain the filed Articles of Organization and acknowledgment. Florida: LLC filing instructions
- Document who owns the company, contributions, and management authority. Discuss an operating agreement that fits the ownership and intended activities. Florida Statutes, section 605.0105
- Review insurance, contracts, and any personal guarantees before signing them. Keep the business’s commitments distinguishable from your personal commitments.
Tax identification and classification
- Determine whether the LLC needs an EIN. A single-member disregarded LLC without employees or relevant excise taxes may not need one for federal purposes, although banking or other needs may justify obtaining one. IRS: LLC EIN requirements
- Apply through the IRS when needed; an EIN is available from the IRS without a fee. IRS: Get an EIN
- Confirm the default federal tax classification and review any proposed corporate or S-corporation election before implementing it. IRS: LLC classifications
Banking and bookkeeping
- Establish business banking and a routine for reconciling accounts.
- Track income, expenses, equipment, contributions, loans, and owner withdrawals separately.
- Save invoices, receipts, contracts, and explanations of unusual transactions. Record business mileage when relevant. IRS: Business records
- Assign responsibility for monthly bookkeeping and decide how reports will reach your tax preparer.
Registrations and payments
- Determine whether the activity requires Florida tax registration. Selling taxable goods or services can create sales-and-use-tax obligations; hiring can create reemployment-tax obligations. Florida Department of Revenue: Registration
- Check applicable professional licenses, local business requirements, and permits. An LLC filing is not an operating license. Florida: Starting a business
- Discuss estimated tax payments based on projected income and the owners’ complete tax picture. IRS: Estimated taxes
- Review payroll and worker classification before paying employees or contractors. Our worker-classification guide
Recurring compliance
- Calendar the Sunbiz annual report separately from income tax returns. LLC reports are generally filed from January 1 through May 1; confirm the filing-year instructions and initial reporting year. Florida: Annual report instructions
- Review federal information reporting, particularly when there are foreign owners or international transactions. U.S.-created entities are currently exempt from CTA BOI reporting, but that does not eliminate separate IRS obligations. FinCEN: Current BOI rule, IRS: Form 5472 instructions
- Revisit the plan when owners, employees, activities, or operating locations change.
Turn the checklist into assigned responsibilities
For each applicable item, record who handles it, its due date, and where the confirmation is stored. Ask your CPA which tasks are included in the engagement rather than assuming one professional handles every filing.
