What Should I Expect When I Make My First LLC?

Forming an LLC creates a legal business entity under state law, but it does not automatically choose your tax treatment, eliminate taxes, or complete every registration needed to operate. Expect a formation process followed by ongoing decisions about ownership, banking, bookkeeping, taxes, and compliance. Florida: LLC formation, IRS: Single-member LLCs
The most useful mindset is that the LLC starts a working business structure. It is not the end of the setup process.
Will the LLC automatically save me taxes?
No. A domestic LLC with one owner is generally disregarded for federal income tax purposes unless it elects corporate treatment; a domestic LLC with multiple owners is generally taxed as a partnership unless it elects otherwise. An eligible LLC can consider S-corporation taxation, but the election requires its own analysis. IRS: LLC tax classifications
Before choosing an election, we recommend reviewing expected profits, the owners, compensation, and the added administration. Avoid making the decision solely because another business uses that classification.
What costs should I anticipate?
Florida’s required state formation fees currently total $125. Optional certificates and copies, a registered-agent service, professional advice, licenses, insurance, and bookkeeping can add separate costs.
The LLC annual report currently costs $138.75 when timely filed. A $400 late fee can apply after the annual report deadline. Budget for recurring obligations as well as formation. Florida: Formation instructions, Florida: Annual report help
Can I keep using my personal account?
We recommend setting up business banking and a bookkeeping system promptly. Document money you contribute, amounts you lend, business costs you pay personally, and withdrawals. Agree on how each will be recorded instead of treating every transfer as income or an expense.
Good supporting records identify the transaction, amount, date, and business purpose and help distinguish assets from current expenses. IRS: Recordkeeping
What if I have a business partner?
Discuss ownership, management, contributions, distributions, decision-making, and exits before disagreements arise. A thoughtfully prepared operating agreement can address these relationships and responsibilities, subject to Florida law. Florida Statutes, section 605.0105
An online filing does not replace that conversation.
Does the LLC protect me from every liability?
No. Florida law generally protects members and managers from company liabilities solely because of their status. That protection should not be confused with immunity from personal guarantees or liability based on their own conduct. Review the proposed activities and agreements with legal counsel and assess appropriate insurance. Florida Statutes, section 605.0304, Florida Senate: LLC liability discussion
What should my first CPA conversation cover?
Bring the formation documents, ownership details, intended activities, expected income, and information about employees or overseas owners. Ask which returns, payments, records, and registrations apply, and who will handle each task.
